These Terms shall be governed by the laws applicable within the jurisdiction of NEX Technologies FZCO, without regard to conflict-of-law principles.

9.2 Dispute Resolution

All disputes shall be resolved through binding arbitration conducted in English and administered by the arbitration authority applicable in our jurisdiction. The arbitrator's decision is final and binding.

9.3 Class Action Waiver

You agree that disputes will be handled individually, not as part of any class or collective action.

10. Termination

10.1 Termination by You

You may terminate these Terms at any time by stopping all use of the software and deleting all copies.

10.2 Termination by Us

We may suspend or terminate your access at any time, with or without cause or notice.

10.3 Effect of Termination

All licenses granted to you immediately cease upon termination. Sections regarding Intellectual Property, Warranties, Indemnification, and Dispute Resolution survive termination.

11. Miscellaneous

11.1 Entire Agreement

These Terms and referenced policies constitute the complete agreement between you and NEX.

11.2 Severability

If any part of these Terms is held invalid, the remaining provisions remain enforceable.

11.3 Waiver

Failure to enforce any right or provision does not constitute a waiver of that right.

11.4 Assignment

You may not assign these Terms without our written permission. We may assign our rights and obligations freely.

11.5 Key Claiming

If your product key is not automatically delivered, you must submit a support ticket within 7 days of purchase. Failure to do so results in forfeiture of the key and any refund eligibility.
